Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of FinContext, a service operated by FinContext LLC ("FinContext," "we," "us," or "our"). By creating an account or using the service, you agree to be bound by these Terms. If you do not agree, do not use the service.

2. Eligibility

FinContext is available only to residents of the United States aged 18 or older. By creating an account, you represent and warrant that you meet both requirements. You may only maintain one account. If you do not meet the eligibility requirements, please do not use the service and instead join the waitlist.

3. Description of Service

FinContext is a headless personal finance infrastructure service that acts as a bridge between your bank accounts and AI assistants via the Model Context Protocol (MCP). We do not provide financial advice, investment recommendations, or money movement capabilities. Bank account access is strictly read-only: FinContext cannot initiate transfers, make payments, or modify your bank accounts. Authorized AI assistants may update transaction labels (merchant name and category overrides) that FinContext stores on your behalf; those updates do not propagate back to your bank.

4. Account Registration & Security

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your password and for all activity under your account. Notify us immediately at [email protected] if you suspect unauthorized access.

5. Subscription & Payment

Pricing and Billing Cycle

FinContext offers a 7-day free trial. After the trial ends, the service renews automatically as a paid subscription at $4.99 per month (the "Subscription Fee"), billed monthly in advance to your payment method via Stripe.

Automatic Renewal Disclosure

Your subscription will automatically renew each month until you cancel. You authorize FinContext (through Stripe) to charge your payment method the then-current Subscription Fee at the start of each billing period. Cancellation takes effect at the end of the current billing period, and no partial-month refunds are issued. You may cancel at any time (see Section 6). This disclosure is intended to comply with California Business and Professions Code § 17602, New York General Business Law § 527-a, and comparable laws in other states.

Price Changes

We may change the Subscription Fee from time to time. We will notify you at least 30 days in advance of any price change via email to the address on your account. Your affirmative consent (such as clicking a confirmation link in the notification email or acknowledging the change in the application) is required before the new price takes effect. If you do not consent, your subscription will end at the close of the current billing period.

6. Refund & Cancellation Policy

How to Cancel

You may cancel your subscription at any time from your account settings. Clicking "Manage subscription" will redirect you to the Stripe customer billing portal, where you can cancel. Your access will continue until the end of the current billing period.

Free Trial

You will not be charged during the 7-day free trial. To avoid being charged, cancel before the trial ends. No credit card is required to start the trial.

Refunds

Subscription Fees are non-refundable except where required by law. If you believe you were charged in error, email [email protected] within 7 days of the charge and we will review the request.

FinContext and its licensors own all rights, title, and interest in the service, including software, trademarks, and documentation. You retain ownership of your financial data. You grant us a limited license to process your data solely as needed to provide the service.

9. Third-Party Services

FinContext integrates with third-party services including Plaid (for bank connections), Stripe (for payments), and AI assistants (through the Model Context Protocol). Your use of these integrations is also governed by their respective terms and privacy policies. We are not responsible for the acts or omissions of third parties. 10. No Financial Advice

FinContext is an information tool. We are not a registered investment adviser, broker-dealer, financial planner, or tax preparer. We do not provide financial, investment, tax, or legal advice.

AI assistants that connect to FinContext via the Model Context Protocol are third-party services not operated or controlled by FinContext. Any output from an AI assistant that resembles financial advice—including spending recommendations, budget suggestions, or investment commentary—is generated by that AI assistant, not by FinContext, and should not be relied upon as a substitute for professional advice.

You are solely responsible for financial decisions you make based on information from the service or from AI assistants using the service.

11. Limitation of Liability

The service is provided on an "as is" and "as available" basis without warranties of any kind, express or implied. To the maximum extent permitted by law, FinContext will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill. Our total liability for any claim arising out of or relating to these Terms is limited to the amount you paid to FinContext in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless FinContext LLC, its officers, employees, and agents from any claim, damage, loss, or expense (including reasonable attorneys' fees) arising out of your violation of these Terms, your use of the service, or your violation of any law or third-party right.

13. Dispute Resolution & Arbitration

Informal Resolution

Before filing a formal dispute, you agree to contact us at [email protected] and allow 30 days for informal resolution.

Binding Arbitration

Any dispute not resolved informally will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration will be conducted in English. Judgment on the award may be entered in any court with jurisdiction.

Class Action Waiver

You and FinContext agree that disputes will be resolved on an individual basis only. You waive your right to participate in a class, consolidated, or representative action.

Small Claims Exception

Either party may bring an individual claim in small claims court, provided the claim qualifies.

30-Day Opt-Out

You may opt out of this arbitration agreement by emailing [email protected] within 30 days of first creating your account with the subject line "Arbitration Opt-Out." Your opt-out will not affect any other provision of these Terms.

14. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.

You may terminate your account at any time from account settings. We may suspend or terminate your account if you violate these Terms, if your use poses a security or legal risk, or if required by law. Upon termination, your access ends and your financial data is deleted in accordance with our Privacy Policy.

16. Changes to These Terms

We may update these Terms as the service evolves. We will notify you at least 30 days in advance of material changes via email to the address on your account. For material changes to the arbitration clause (Section 13), liability cap (Section 11), or privacy-related provisions, we will ask for your affirmative acknowledgment before the changes take effect. For all other changes, continued use of the service after the 30-day notice period constitutes acceptance.
